Item 8.01

Other Events.

 

On January 22, 2018, Biocept, Inc. (the “Company”) received a letter from The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company had failed to comply with the $1.00 per share minimum bid price requirement of Nasdaq Listing Rule 5550(a)(2). On July 24, 2018, the Company received a letter from Nasdaq indicating that, because the Company’s common stock has had a minimum closing bid price of at least $1.00 per share for at least 10 consecutive business days, the Company has regained compliance with Nasdaq Listing Rule 5550(a)(2).
